Terms of Service

Effective October 8, 2026

Thanks for using rAI Optics. These Terms of Service ("Terms") are the agreement between you and rAI Optics LLC, a California limited liability company ("rAI Optics", "we", "us"). They cover raioptics.app, the rAI Optics chat assistant and Lens Studio, the rAITrace desktop app, and anything else we offer under the rAI Optics name (together, the "Services").

By creating an account or using the Services you agree to these Terms and to our Privacy Policy. If you use the Services for a company, you agree to them on its behalf and confirm you are authorized to. These Terms limit our liability and say how disputes are resolved — please read them.

We may update these Terms. When we make a material change we will update the date above and email account holders before it takes effect. Continuing to use the Services after that means you accept the new Terms.

Your account

  1. You must be at least 18 years old.
  2. You must be a human. Accounts created by bots or other automated methods are not allowed.
  3. Keep your password secure. You are responsible for everything that happens under your account, including in the desktop app.
  4. Give us an email address that works. We use it for receipts, security notices, and changes to these Terms.

What rAI Optics is — and isn't

The Services help you create, analyze, and optimize optical designs using ray tracing, optimization algorithms, and large language models. Results are starting points for an engineer, not certified designs.

  • AI-generated text and prescriptions can be wrong, incomplete, or physically impossible. Analyses depend on the inputs, models, and glass data used, and can differ from other software.
  • You are responsible for checking every design, analysis, and recommendation independently before you rely on it, publish it, quote it, or send it to manufacturing.
  • Nothing in the Services is engineering certification, professional advice, or a warranty that a design is fit for any purpose, safe, or free of third-party patent claims.

Acceptable use

You may not:

  • Use the Services to break any law, or to infringe anyone's intellectual property — including copying third-party lens prescriptions you do not have the right to use.
  • Access or collect data from accounts that are not yours, or scrape, bulk-download, or systematically extract the lens library, glass catalogs, or other data in the Services.
  • Probe, circumvent, or interfere with our security, rate limits, or licence checks, or share, sell, or resell access to your account or the desktop app.
  • Use the Services to build a competing product or dataset, or to train machine-learning models.
  • Overload or disrupt the Services, or upload malware.
  • Use the AI features to generate content that violates the usage policies of our AI providers (listed on our Subprocessors page), or to design weapons.
  • Harass or threaten anyone, including our staff.

We may suspend or close accounts that do any of this, without notice when needed to protect the Services or other users. Report abuse to nader.heidari@raioptics.com.

Plans, payment, and renewal

  1. The Free plan is free: we never ask for a card. Paid plans and their limits are described on our pricing page.
  2. Paid plans renew automatically each billing period at the then-current price until you cancel. Payments are processed by Stripe; we never see or store your full card number.
  3. Upgrades take effect immediately and are charged right away; your billing cycle starts on the upgrade date. Downgrades take effect at the next billing cycle.
  4. Prices are in US dollars and exclude taxes. Where we are required to collect sales tax or similar, we will add it at checkout.
  5. If a payment fails we may limit your account to the Free plan until it's paid.
  6. We may change prices. Existing subscribers get at least 30 days' notice by email before a change applies to them.
  7. Usage limits (for example, monthly AI tokens) are part of each plan. Unused allowance does not roll over.

Cancellation and refunds

You can cancel any time from Account → Subscription, which opens Stripe's billing portal — no email or call required. Cancelling stops future renewals; you keep paid features until the end of the period you've paid for. See Refunds and Cancellation for refunds and what happens to your data when you delete your account.

We may suspend or terminate accounts that violate these Terms, or discontinue the Services. If we discontinue a paid Service without cause, we will refund the unused part of your current billing period.

The rAITrace desktop app

The desktop app requires a plan that includes it. It checks your licence with raioptics.app and works offline for up to 14 days between checks. We grant you a personal, non-transferable, revocable licence to install and run it on computers you control for as long as your plan includes it. You may not reverse-engineer, modify, or redistribute it, or tamper with its licence checks, except where the law allows despite this restriction.

Your content and ours

  1. Your designs are yours. The prompts you write, the prescriptions you create or import, and your exported files belong to you. You give us a limited licence to store, process, and display them only to provide the Services to you. We do not use your content to train AI models, and we do not sell it.
  2. You confirm you have the right to upload anything you import, such as ZMX files.
  3. Ours is ours. The Services — software, documentation, design, and our selection, arrangement, and annotation of the lens library and glass data — belong to rAI Optics. These Terms don't give you any rights to them beyond using the Services. Many library designs are taken from published patents; the prescriptions themselves are not ours to own, but using the Services doesn't grant you any patent rights either.
  4. If you send us feedback or suggestions, we can use them without obligation to you.
  5. If you believe something in the Services infringes your copyright, email nader.heidari@raioptics.com with the material, its location, your contact details, and a statement that you are the owner or authorized to act for them.

Privacy and data

How we collect and use personal information is described in our Privacy Policy. The companies that process data on our behalf are listed on our Subprocessors page.

Availability and changes to the Services

We work to keep the Services running and your data safe, but we don't promise uninterrupted or error-free service. We may change, add, or remove features. As with any software, the Services have bugs; we fix them by priority, especially anything affecting security, privacy, or the correctness of results.

Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that any design, analysis, or AI output is accurate, manufacturable, or suitable for your use.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, rAI OPTICS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, OR FOR THE COST OF MANUFACTURING, PROTOTYPES, OR SUBSTITUTE GOODS, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND US$100.

Some jurisdictions don't allow some of these exclusions, so they may not all apply to you.

Indemnity

If someone brings a claim against us because of your content or your breach of these Terms, you agree to cover our reasonable costs and losses from that claim.

Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in California, and you and we consent to their jurisdiction. Before filing a claim, please email us — most problems can be solved that way.

Everything else

These Terms, with the policies they link to, are the whole agreement between you and us about the Services. If part of them is unenforceable, the rest still applies. Our not enforcing a provision isn't a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition, or sale of assets.
